These Terms of Service (“Terms”) govern your access to and use of Zolvant AI, a product of Young10 Marketing LLC (“Zolvant AI,” “we,” “us,” or “our”), including our websites, software, AI-powered features, communications tools, automation services, and related products and services. By accessing or using Zolvant AI, you agree to these Terms.
1. Acceptance of These Terms
By accessing or using Zolvant AI, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our services.
2. Eligibility and Business Use
You must be at least 18 years old and have the legal authority to enter into these Terms. Zolvant AI is primarily intended for business and commercial use. If you use the services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts and Account Security
Certain Zolvant AI services may require you to create an account. You are responsible for providing accurate and current information, maintaining the confidentiality of your login credentials, and all activity that occurs under your account.
You must notify us promptly if you become aware of unauthorized access to or use of your account.
4. Zolvant AI Services
Zolvant AI provides software and AI-powered tools designed to help businesses manage leads, communications, follow-up, appointments, customer relationships, sales pipelines, automations, and related business processes.
Features and availability may vary by subscription plan, configuration, location, third-party service availability, usage limits, and other factors. We may modify, improve, add, or discontinue features from time to time.
5. AI-Powered Features and Automated Communications
Some Zolvant AI features use artificial intelligence and automation to generate responses, assist with conversations, qualify leads, schedule appointments, manage follow-up, and perform other tasks.
AI-generated outputs may not always be complete, accurate, or appropriate for every situation. You are responsible for reviewing your configurations, instructions, business information, workflows, and use of AI-generated content.
Zolvant AI does not guarantee that AI features will produce specific business results, appointments, sales, revenue, or other outcomes.
6. Subscriptions, Fees, and Billing
Some Zolvant AI services require a paid subscription. Pricing, billing frequency, included features, and applicable usage limits will be shown at checkout, in your order form, or within your account.
By purchasing a subscription, you authorize us and our payment providers to charge your selected payment method for applicable subscription fees, usage charges, taxes, and other amounts disclosed to you.
If your subscription is recurring, it will renew according to the billing interval shown at purchase unless you cancel it before the next renewal date or your applicable order terms state otherwise.
7. Cancellation and Changes to Plans
You may cancel or change your subscription subject to the terms associated with your plan and billing arrangement. Cancellation generally prevents future renewals but does not automatically reverse charges already incurred.
Any refunds, credits, or prorated amounts will be handled according to the terms presented at the time of purchase and applicable law.
We may modify plan features, usage limits, or pricing from time to time. Where appropriate, we will provide notice before material changes affect an existing paid subscription.
8. Usage Charges and Third-Party Costs
Certain features may generate additional usage-based charges, including phone calls, SMS or MMS messaging, email delivery, artificial intelligence usage, phone numbers, and other communication or third-party services.
Applicable usage charges may vary based on your plan, usage volume, provider pricing, destination, and other factors. You are responsible for charges associated with your use of these services when such charges apply.
Third-party providers may change their rates, availability, or requirements, which may affect the pricing or availability of certain Zolvant AI features.
9. SMS, Email, and Communications
Zolvant AI may provide tools that allow businesses to communicate with leads and customers through SMS, phone, email, and other channels.
You are responsible for using these communication features in compliance with applicable laws, carrier requirements, consent requirements, opt-out rules, and industry standards.
Where required, recipients must have provided appropriate consent before receiving communications. SMS recipients must be provided with appropriate methods to opt out, including replying STOP, and obtain assistance, including replying HELP, where applicable.
You must not use Zolvant AI to send unlawful, deceptive, abusive, unsolicited, or otherwise prohibited communications.
10. Acceptable Use
You agree not to use Zolvant AI for unlawful, fraudulent, deceptive, abusive, harmful, or unauthorized purposes.
You may not use the services to send spam or unlawful communications; impersonate another person or business; violate the rights of others; distribute malicious code; interfere with the security or operation of the services; attempt unauthorized access to accounts, systems, or data; or use Zolvant AI in violation of applicable laws, carrier rules, or third-party platform requirements.
We may restrict or suspend access where we reasonably believe use of the services creates legal, security, operational, or compliance risks.
11. Customer Responsibilities
You are responsible for the accuracy of the business information, instructions, content, workflows, contact data, calendar availability, qualification criteria, and other materials you provide or configure within Zolvant AI.
You are also responsible for obtaining any permissions, consents, licenses, or authorizations required to collect, upload, process, contact, or communicate with your leads and customers.
You are responsible for reviewing your account settings and automated workflows before using them with real customers and for monitoring their continued operation.
12. Third-Party Services and Integrations
Zolvant AI may connect with or rely on third-party services such as payment processors, telecommunications providers, email providers, calendar platforms, analytics services, artificial intelligence providers, and other software platforms.
Your use of third-party services may be subject to separate terms, policies, fees, limitations, and availability requirements imposed by those providers.
We are not responsible for outages, changes, restrictions, errors, or other issues caused by third-party services that are outside our reasonable control.
13. Intellectual Property
Zolvant AI and its associated software, website content, designs, branding, workflows, documentation, features, and other materials are owned by or licensed to Young10 Marketing LLC and are protected by applicable intellectual property laws.
Subject to these Terms and your applicable subscription, we grant you a limited, non-exclusive, non-transferable, and revocable right to access and use Zolvant AI for your internal business purposes.
You may not copy, reproduce, resell, sublicense, reverse engineer, modify, distribute, or create derivative works from our proprietary materials except where expressly permitted by us or applicable law.
14. Confidentiality and Customer Data
In connection with the services, you may provide business information, customer information, lead data, communications, documents, and other content (“Customer Data”).
As between you and Zolvant AI, you retain ownership of your Customer Data. You grant us the rights reasonably necessary to host, process, transmit, store, and otherwise use Customer Data to provide, maintain, secure, support, and improve the services.
You are responsible for ensuring that you have the necessary rights, permissions, and legal basis to provide Customer Data to us and to use it through Zolvant AI.
We will handle Customer Data in accordance with our Privacy Policy and applicable contractual obligations.
15. Service Availability and Modifications
We aim to provide reliable access to Zolvant AI, but we do not guarantee that the services will be available at all times or without interruption, delay, error, or downtime.
Service availability may be affected by maintenance, updates, telecommunications providers, third-party platforms, internet connectivity, security events, force majeure events, or other circumstances outside our reasonable control.
We may modify, update, replace, suspend, or discontinue portions of the services from time to time.
16. Disclaimers
Zolvant AI and its services are provided on an “as is” and “as available” basis to the maximum extent permitted by law.
We do not warrant that the services will be uninterrupted, error-free, completely secure, or suitable for every business purpose. We do not guarantee the accuracy, completeness, or reliability of AI-generated responses, automated actions, third-party integrations, or other outputs.
Zolvant AI does not guarantee any specific number of leads, appointments, customers, sales, revenue, rankings, reviews, or other business results. Your results may depend on factors outside our control, including your offer, market, lead quality, pricing, sales process, staffing, and use of the services.
17. Limitation of Liability
To the maximum extent permitted by applicable law, Young10 Marketing LLC, Zolvant AI, and their owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings arising from or related to your use of the services.
To the maximum extent permitted by law, our total liability arising out of or relating to the services or these Terms will not exceed the amount you paid to Zolvant AI for the applicable services during the three months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.
18. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Young10 Marketing LLC, Zolvant AI, and their owners, officers, employees, contractors, affiliates, and service providers from claims, damages, losses, liabilities, costs, and expenses arising from or related to your misuse of the services, violation of these Terms, violation of applicable law, or infringement of the rights of another person or organization.
19. Termination and Suspension
You may stop using Zolvant AI at any time, subject to any applicable subscription, billing, or cancellation obligations.
We may suspend, restrict, or terminate access to the services if we reasonably believe that you have violated these Terms, failed to pay applicable charges, created a security or compliance risk, engaged in unlawful or abusive activity, or used the services in a manner that could harm Zolvant AI, our providers, or other users.
Upon termination, your right to use the services will end. Provisions that by their nature should survive termination will remain in effect.
20. Governing Law and Disputes
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
Before initiating formal legal proceedings, you agree to contact us and attempt in good faith to resolve any dispute relating to these Terms or the services.
Subject to applicable law, any legal proceeding arising from these Terms or the services will be brought in a court of competent jurisdiction in Wyoming.
21. Changes to These Terms
We may update these Terms from time to time to reflect changes to our services, pricing, business practices, legal requirements, or other operational needs.
When we make changes, we will update the “Last Updated” date at the top of this page. If a change materially affects your use of a paid service, we may provide additional notice where appropriate.
Your continued use of the services after updated Terms become effective constitutes acceptance of the revised Terms where permitted by applicable law.
